Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of sitepx ("we," "our," or "us"), a Shopify application that provides AI-powered SEO content generation and optimization services (the "Service"). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Account Registration and Security

To use the Service, you must have an active Shopify store and install the sitepx application. You are responsible for:

• Maintaining the security of your Shopify account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information is accurate and up-to-date

We reserve the right to suspend or terminate your account if we suspect unauthorized access or violations of these Terms.

Service Description

sitepx provides the following features:

• AI-powered generation of product descriptions, blog posts, and SEO metadata
• AI image generation for products and blog content
• Content optimization using proprietary algorithms
• Bulk content generation and updates
• Scheduled publishing and campaign management
• Content review and approval workflows

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Subscription and Payment

Subscription Plans

The Service is offered through subscription plans with varying features and limits. Current pricing and plan details are available on our website and within the Shopify app listing. We reserve the right to modify pricing and plan features with reasonable notice.

Billing

Subscription fees are billed in advance on a monthly or annual basis through Shopify's billing system. By subscribing, you authorize Shopify to charge your payment method on file. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

Free Trials

We may offer free trial periods for new users. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No charges will be made during the trial period.

Cancellation and Refunds

You may cancel your subscription at any time through your Shopify admin panel. Cancellation will take effect at the end of the current billing period, and you will retain access to the Service until that time. We do not provide refunds for partial months or unused portions of your subscription, except as required by applicable law.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Generate content that infringes on intellectual property rights or violates privacy rights
• Use the Service to create spam, misleading content, or deceptive SEO practices
• Attempt to reverse engineer, decompile, or access the source code of the Service
• Use the Service to develop competing products or services
• Circumvent usage limits or restrictions on your subscription plan
• Share your account credentials or allow unauthorized access to your account
• Use automated systems to access the Service in ways that exceed reasonable usage
• Interfere with or disrupt the Service or servers connected to the Service

We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including removing content, suspending accounts, or reporting to law enforcement.

Intellectual Property Rights

Our Intellectual Property

The Service, including its software, algorithms, design, branding, and documentation, is owned by sitepx and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

Your Content

You retain all rights to your store data, product information, and other content you provide to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and display Your Content solely for the purpose of providing and improving the Service.

Generated Content

Content generated by the Service using AI ("Generated Content") is provided to you for your use. You are responsible for reviewing, editing, and ensuring that Generated Content complies with all applicable laws, regulations, and third-party rights before publishing it. We do not claim ownership of Generated Content, but we are not liable for any issues arising from your use of it.

Disclaimers and Limitations

No Guarantees

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• Generated content will be accurate, complete, or free from errors
• Generated content will improve your search engine rankings or website traffic
• The Service will meet your specific requirements or expectations
• Any errors in the Service will be corrected

SEO Results

While the Service is designed to help improve SEO, we make no guarantees about search engine rankings, organic traffic, or conversion rates. SEO results depend on many factors outside our control, including search engine algorithms, competition, and content quality. You are solely responsible for evaluating and testing Generated Content before publishing.

Third-Party Services

The Service integrates with third-party services, including AI providers and Shopify. We are not responsible for the availability, performance, or policies of these third-party services. Your use of third-party services is subject to their respective terms and conditions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SITEPX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Loss of goodwill or reputation
• Cost of substitute services
• Any other indirect or consequential damages

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless sitepx and its affiliates, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, privacy, or publicity rights; or (d) any content you publish using the Service.

Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. You are responsible for ensuring that any data you provide complies with applicable data protection laws.

Termination

Termination by You

You may terminate your use of the Service at any time by uninstalling the app from your Shopify store or canceling your subscription. Upon termination, your access to the Service will cease at the end of your current billing period.

Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or third parties.

Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete or anonymize your data within 90 days of termination, except where retention is required for legal, regulatory, or legitimate business purposes. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which sitepx operates, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

• Good faith negotiations between the parties
• If negotiations fail, binding arbitration in accordance with the rules of the applicable arbitration association
• Each party shall bear its own costs and expenses in any dispute resolution process

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and sitepx regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
